Welcome to NUUUII.

These Terms of Service ("Terms") apply to your access to and use of the NUUUII website, online store, products, services, content, features and related services (collectively, the "Services").

In these Terms, "NUUUII", "we", "us" and "our" refer to NUU UII DESIGN SERVICES - FZCO, trading as NUUUII.

NUUUII operates its online store through Shopify, which provides the technology and platform that enables us to provide the Services.

Please read these Terms carefully before using our website or placing an order. By accessing, browsing or using our Services, or by placing an order through our online store, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms or our Privacy Policy, please do not use our website or Services.

These Terms are subject to applicable laws of the United Arab Emirates. Nothing in these Terms is intended to exclude or limit any mandatory rights or protections available to consumers under applicable law.

You may use our Services only for lawful purposes and in accordance with these Terms.

You must not use another person's account without their permission or attempt to gain unauthorized access to any account, system or part of our Services.

We reserve the right to suspend or terminate an account where we reasonably believe that the account has been used in violation of these Terms or applicable law.

 

 

SECTION 2 - OUR PRODUCTS

We make reasonable efforts to ensure that product descriptions, images, colors, sizes and other information displayed on our website are accurate.

However, the appearance of colors may vary depending on your device, screen settings and other technical factors.

Product descriptions, specifications, availability and prices may be updated from time to time.

We reserve the right to discontinue products, change product specifications, or limit the quantity of products available for purchase, subject to applicable law.

Nothing in this section affects any statutory consumer rights or remedies that apply to products purchased from NUUUII.

 

 

SECTION 3 - ORDERS AND ACCEPTANCE

When you place an order through our website, you are submitting a request to purchase the selected products.

After submitting an order, you will normally receive an order confirmation by email. This confirmation acknowledges that we have received your order but does not necessarily mean that the order has been accepted.

An order will be considered accepted when we confirm the order and/or begin processing it for fulfillment.

We reserve the right to refuse or cancel an order where permitted by law, including in circumstances such as:

  • the product being unavailable;

  • an error in the product description or displayed price;

  • suspected fraudulent or unauthorized activity;

  • payment not being successfully completed;

  • an incorrect or incomplete delivery address; or

  • circumstances requiring us to cancel the order under applicable law.

If we cancel an order after payment has been received, we will arrange an appropriate refund in accordance with applicable law and our Refund and Return Policy.

Your purchases are subject to our Refund and Return Policy, which forms part of these Terms.

Nothing in these Terms limits or excludes any mandatory consumer rights or remedies available under applicable UAE law.

 

 

SECTION 4 - PRICES, VAT AND PAYMENT

Prices displayed on our website are stated in United Arab Emirates Dirhams (AED) unless otherwise indicated.

Where NUUUII is required to charge VAT, prices advertised to consumers in the UAE will be inclusive of applicable VAT.

Shipping and delivery charges, where applicable, will be clearly displayed before you complete your purchase.

For international orders, customs duties, import taxes or other charges imposed by the destination country may apply. Unless otherwise stated, such charges are the responsibility of the customer.

Prices, discounts and promotions may change from time to time. The price applicable to your order will generally be the price displayed at the time you complete your purchase, subject to correction of obvious pricing or technical errors.

We accept the payment methods displayed at checkout.

By submitting payment information, you confirm that you are authorized to use the selected payment method.

We may use third-party payment service providers to process payments. Payment information may be processed by those providers in accordance with their applicable terms and privacy policies.

We do not knowingly add an additional charge merely because a customer uses a credit card or other permitted payment method, except where such charge is expressly permitted by applicable law.

 

 

SECTION 5 - SHIPPING AND DELIVERY

We will arrange delivery of your order to the delivery address provided at checkout.

Delivery times displayed on our website are estimates and may vary depending on the destination, product availability, order processing, courier services and other circumstances.

We are not responsible for delays caused by circumstances outside our reasonable control, including courier delays, customs procedures, severe weather, government restrictions, technical problems or other events beyond our reasonable control.

Where available, we will provide tracking information to the customer.

Customers are responsible for providing a complete and accurate delivery address and appropriate contact details.

If a delivery cannot be completed because the information provided by the customer is incorrect or because the customer is unavailable to receive the order, additional delivery arrangements or charges may apply where permitted by law.

For international orders, delivery times may be affected by customs clearance and import procedures in the destination country.

Nothing in this section limits any consumer rights or remedies available under applicable law.

 

 

SECTION 6 - REFUNDS, RETURNS AND EXCHANGES

Our Refund and Return Policy explains the conditions and procedures applicable to returns, exchanges and refunds.

The Refund and Return Policy is incorporated into these Terms by reference.

Where a product is defective, damaged, incomplete, materially different from its description, or otherwise gives rise to a legal remedy under applicable UAE law, NUUUII will provide the remedy required by applicable law.

Customers should contact us as soon as reasonably possible after discovering an issue with an order and provide the relevant order information and, where appropriate, photographs or other evidence of the issue.

Nothing in our Refund and Return Policy or these Terms is intended to remove or restrict mandatory consumer rights under UAE law.

 

 

SECTION 7 - INTELLECTUAL PROPERTY

All content made available through the Services, including but not limited to NUUUII's name, logos, trademarks, product names, photographs, images, graphics, text, designs, videos, audio, website design and other materials, is owned by or licensed to NUUUII or its respective rights holders and is protected by applicable intellectual property laws.

You may access and use the website for your personal, non-commercial purposes.

You must not, without our prior written permission or as otherwise permitted by applicable law:

  • reproduce or copy substantial portions of our website content;

  • modify or create derivative works from our content;

  • commercially exploit our content;

  • distribute or republish our content;

  • use our trademarks or logos; or

  • use our content in a manner that suggests an association with NUUUII that does not exist.

All rights not expressly granted to you under these Terms are reserved.

Shopify and its related names, logos and trademarks belong to Shopify or its respective rights holders.

Our Services may contain links, integrations or functionality provided by third parties, including payment providers, delivery providers, social media services and other service providers.

We do not control third-party websites or services and are not responsible for their content, policies, availability or practices.

Your use of third-party services may be subject to the third party's own terms and privacy policies.

Where a third-party service is necessary to complete a transaction, such as payment processing or delivery, relevant information may be shared with that provider as described in our Privacy Policy.

 

 

SECTION 9 - SHOPIFY

NUUUII's online store is powered by Shopify.

Shopify provides the technology and infrastructure that enables us to operate our online store. However, purchases made through our store are transactions between you and NUUUII.

Shopify is not the seller of NUUUII's products and is not responsible for the products sold by NUUUII, their quality, availability, delivery or any other aspect of the transaction between you and NUUUII.

Shopify may process certain information in connection with providing its services to us, as described in our Privacy Policy and Shopify's applicable privacy documentation.

Your use of our Services is subject to our Privacy Policy, which forms part of these Terms.

For products sold by NUUUII, any applicable statutory warranties and consumer protections remain unaffected.

To the fullest extent permitted by applicable law, NUUUII and its officers, employees, affiliates, contractors, service providers and licensors will not be responsible for indirect, incidental or consequential losses arising from your use of the Services where such liability may lawfully be excluded.

We will not be responsible for losses caused by circumstances outside our reasonable control, including failures of third-party payment providers, delivery companies, internet services or other third-party systems, except where applicable law provides otherwise.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from mandatory consumer protections or other applicable laws.

 

 

SECTION 17 - INDEMNIFICATION

To the extent permitted by applicable law, you agree to be responsible for losses or claims suffered by NUUUII as a direct result of your unlawful use of the Services, fraud, or material breach of these Terms.

This section does not require you to indemnify NUUUII for matters caused by NUUUII's own unlawful conduct or for rights or remedies that cannot legally be transferred to you.

 

 

SECTION 18 - SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law and the remaining provisions will continue to apply.

The invalidity of one provision will not affect the validity of the remaining provisions.

 

 

SECTION 19 - WAIVER AND ENTIRE AGREEMENT

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with our Privacy Policy, Refund and Return Policy, Shipping Policy and any other policies expressly incorporated into these Terms, constitute the agreement between you and NUUUII regarding your use of the Services.

If there is a conflict between these Terms and a mandatory provision of applicable law, the mandatory provision will prevail.

 

 

SECTION 20 - ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where such restriction is not permitted by applicable law.

NUUUII may transfer or assign its rights and obligations in connection with a business sale, restructuring or other lawful transaction, provided that doing so does not unlawfully affect your rights.

 

 

SECTION 21 - GOVERNING LAW AND JURISDICTION

These Terms of Service shall be governed by and construed in accordance with the applicable laws of the United Arab Emirates and the Emirate of Dubai, as applicable.

Any dispute arising out of or in connection with these Terms or your purchase from NUUUII shall be subject to the jurisdiction of the competent courts of Dubai, United Arab Emirates, subject to any mandatory consumer rights, dispute-resolution procedures or jurisdictional requirements under applicable law.

The headings used in these Terms are provided for convenience only and do not affect the interpretation of any provision.

 

 

SECTION 23 - CHANGES TO THESE TERMS

We may update these Terms from time to time by publishing an updated version on our website.

The updated Terms will become effective from the date stated at the beginning of the updated Terms, unless otherwise required by applicable law.

Where required, we will provide notice of material changes.

Your continued use of our Services after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
